16. Dormant, Abandoned & Duplicate Accounts

SafeHustle may classify an account as dormant where it remains inactive for an extended period determined by the Platform.

17. Right to Refuse Service

Nothing in these Terms obligates SafeHustle to provide or continue providing access to the Platform.

SafeHustle reserves the right to refuse registration, decline verification, reject transactions, remove content, suspend Users or discontinue services where reasonably necessary to protect the Platform, its Users or comply with applicable law.


PART III – PLATFORM SERVICES, USER RELATIONSHIPS & MARKETPLACE OPERATIONS

18. Nature of the Platform

SafeHustle is a technology marketplace connecting Clients and Workers.

The Platform provides technology that enables:

SafeHustle does not itself perform the services advertised by Workers.

19. Contractual Relationship Between Users

Every contract for services exists solely between the Client and the Worker.

SafeHustle is not a contracting party and assumes no responsibility for the performance of either party except as expressly stated in these Terms.

20. No Employment Relationship

Registration on SafeHustle does not create an employment relationship, agency, partnership, joint venture or contract of service between SafeHustle and any User.

Workers remain independent professionals responsible for:

No User is authorized to act as an agent or representative of SafeHustle.

Users shall not represent that SafeHustle guarantees any transaction or bind SafeHustle to any obligation unless expressly authorized in writing.

22. Platform Verification Disclaimer

Verification enhances trust but does not constitute:

Users remain responsible for exercising independent judgment before engaging another User.

Clients must ensure every Job posted on SafeHustle:

SafeHustle reserves the right to reject, edit, suspend or remove any Job posting that violates these Terms or applicable law.

Users shall not post, request or perform Jobs involving:

SafeHustle may immediately suspend any transaction involving prohibited activities and may notify competent authorities where required by law.

27. Off-Platform Transactions

SafeHustle strongly encourages Users to complete transactions through the Platform.

Transactions conducted outside SafeHustle may not benefit from:

Repeated attempts to bypass Platform payment systems may result in account restriction or termination.

28. Communications Between Users

Communication tools are provided solely for legitimate business purposes. Users shall communicate respectfully and professionally.

Users must not use Platform communications to:

Platform communications may be retained for fraud prevention, customer support, dispute resolution and regulatory compliance.

29. Platform Discretion

SafeHustle may take any reasonable action necessary to:

This may include removing Jobs, restricting features, requesting additional verification, suspending accounts or freezing payments where permitted by law.

30. Payment Framework

SafeHustle facilitates payments through licensed third-party Payment Processors.

SafeHustle is not a bank or financial institution and does not hold customer funds in its own name.

All payments processed through the Platform are subject to these Terms, applicable payment processor terms and all relevant laws.

By initiating or receiving a payment through SafeHustle, Users authorize SafeHustle and its approved Payment Processors to process such payments in accordance with these Terms.


PART IV – PAYMENTS, ESCROW & FINANCIAL TERMS

31. Escrow Services

SafeHustle provides an escrow-enabled payment system designed to promote trust between Clients and Workers. Funds paid into escrow remain subject to the conditions of these Terms and the applicable Escrow Policy.

Escrow services are intended to reduce fraud and facilitate secure transactions but do not constitute a guarantee that every dispute or loss can be prevented.

32. Funding Escrow

Clients shall deposit the agreed contract amount into escrow before work commences where escrow is required for the transaction.

SafeHustle may decline, delay or reverse transactions that fail security, verification or compliance checks.

33. Release of Funds

Escrow funds may be released upon any of the following:

Refund requests shall be handled in accordance with the SafeHustle Refund & Cancellation Policy.

Refund approval depends on the facts of each transaction and shall not be automatic merely because a request has been submitted.

35. Platform Fees

SafeHustle may charge service fees, transaction fees, verification fees, subscription fees or other charges for use of certain Platform features.

Applicable fees shall be disclosed before completion of the relevant transaction whenever reasonably practicable.

36. Taxes

Each User is solely responsible for determining, reporting and paying any taxes arising from their use of the Platform.

SafeHustle does not provide tax advice and Users should consult qualified professionals where necessary.

37. Payment Processors

Payments may be processed by licensed third-party payment service providers.

Users agree that such providers may conduct fraud checks, identity verification and transaction monitoring in accordance with applicable law.

38. Failed Transactions

SafeHustle shall not be responsible for transaction failures caused by:

39. Chargebacks

Improper chargebacks or payment reversals intended to avoid legitimate payment obligations may result in suspension, debt recovery proceedings and permanent termination of the offending account.

40. Currency

Transactions shall be processed in currencies supported by SafeHustle and its approved Payment Processors.

Exchange rates and conversion fees, where applicable, shall be determined by the relevant financial institution or payment provider.

41. Financial Compliance

SafeHustle reserves the right to monitor transactions for compliance with anti-money laundering, counter-terrorism financing, sanctions and other applicable financial regulations.

42. Suspicious Transactions

SafeHustle may delay, suspend or report transactions reasonably suspected of fraud, money laundering, terrorism financing or other unlawful conduct.

Where required by law, SafeHustle may cooperate with regulatory agencies and law enforcement authorities.

43. Financial Records

SafeHustle may retain payment records, invoices, receipts, audit logs and transaction histories for legal, accounting, regulatory, fraud prevention and business continuity purposes in accordance with applicable law.


PART V – DISPUTE RESOLUTION, INVESTIGATIONS & PLATFORM ENFORCEMENT

44. PLATFORM DISPUTE RESOLUTION

44.1 SafeHustle is committed to resolving disputes fairly, impartially and within a reasonable time.

44.2 The dispute resolution process is intended to provide an efficient mechanism for resolving disputes arising from transactions conducted through the Platform.

44.3 By using the Platform, each User agrees to participate in good faith in the dispute resolution procedures established under these Terms before pursuing any external legal remedy, except where urgent legal relief is reasonably required.

45. DISPUTES ELIGIBLE FOR REVIEW

SafeHustle may review disputes including, but not limited to:

SafeHustle reserves the right to decline disputes that fall outside the scope of the Platform or where there is insufficient information to conduct a meaningful review.

46. COMMENCEMENT OF A DISPUTE

46.1 A User wishing to dispute a transaction shall initiate the dispute through the Platform within the applicable review period.

46.2 Every dispute shall contain sufficient information to enable SafeHustle understand the nature of the complaint.

46.3 SafeHustle may require additional information before accepting a dispute for review.

46.4 Frivolous, malicious, repetitive or bad faith disputes may be rejected.

47. EFFECT OF A DISPUTE

Upon acceptance of a dispute, SafeHustle may immediately:

48. EVIDENCE

48.1 SafeHustle may consider any evidence it reasonably considers relevant, including:

49. PLATFORM INVESTIGATION

49.1 SafeHustle may investigate any dispute using information available on the Platform together with information voluntarily provided by Users or lawfully obtained from third parties.

49.2 During an investigation SafeHustle may:

Failure to cooperate may be taken into account when determining the dispute.

50. STANDARD OF REVIEW

50.1 SafeHustle shall determine disputes on the basis of the information reasonably available at the time of the investigation.

50.2 SafeHustle is not required to establish liability beyond reasonable doubt or to apply formal judicial rules of evidence.

52. DISPUTE DECISIONS

Following completion of its review, SafeHustle may:

53. APPEALS

53.1 A User dissatisfied with a dispute decision may submit one appeal within the period specified in the Dispute Resolution Policy.

53.2 Appeals shall be limited to:

53.3 SafeHustle shall not be obliged to consider repetitive appeals raising substantially identical issues.

54. FINALITY OF PLATFORM DECISIONS

54.1 Decisions made under the Platform dispute resolution process shall be final for the purposes of Platform administration.

54.2 Nothing in this Article prevents a User from pursuing any legal rights available under applicable law.

54.3 Where a competent court or arbitral tribunal issues a binding order affecting a transaction, SafeHustle shall comply with such order to the extent required by law.

55. FRAUDULENT OR ABUSIVE DISPUTES

Users shall not:

56. PLATFORM ENFORCEMENT

SafeHustle may take enforcement action where a User:

Enforcement measures may include warnings, suspension, payment restrictions, removal of content, permanent Account termination, recovery of losses, referral to law enforcement agencies or any other lawful action considered reasonably necessary.

57. PRESERVATION OF DIGITAL EVIDENCE

57.1 SafeHustle may retain and preserve communications, transaction records, uploaded documents, metadata, payment history, audit logs and other electronic records for dispute resolution, fraud prevention, legal proceedings, regulatory compliance and the protection of legitimate interests.

57.2 Users acknowledge that electronic records generated or maintained by the Platform may be relied upon as evidence in dispute resolution proceedings, judicial proceedings, arbitration, regulatory investigations or law enforcement processes, subject to applicable law.

57.3 SafeHustle shall preserve such records for such period as it reasonably considers necessary, having regard to applicable legal, regulatory and operational requirements.


PART VI – USER CONDUCT, PLATFORM INTEGRITY & PROHIBITED ACTIVITIES

58. GENERAL STANDARD OF CONDUCT

58.1 Every User shall use the Platform honestly, responsibly and in good faith.

58.2 Users shall conduct themselves in a manner that promotes trust, professionalism, respect and the integrity of the Platform.

58.3 Users shall refrain from any conduct that may expose SafeHustle, other Users or third parties to legal, financial, operational or reputational risk.

58.4 Users shall comply at all times with these Terms, the Community Guidelines, the Acceptable Use Policy and all applicable laws.

59. PROFESSIONAL CONDUCT

Users shall:

Users shall not engage in any activity intended to interfere with or manipulate the proper operation of the Platform.

62. TECHNOLOGY MISUSE, ARTIFICIAL INTELLIGENCE & AUTOMATED SYSTEMS

62.1 Users shall not use artificial intelligence ("AI"), automated systems, bots, scripts or any other technology in a manner that compromises the integrity, security, fairness or intended operation of the Platform.

62.2 Without limiting the generality of the foregoing, Users shall not use any technology to:

62.3 The legitimate use of artificial intelligence or other technology as a productivity tool shall not, of itself, constitute a breach of these Terms, provided such use:

62.4 Where SafeHustle reasonably suspects that artificial intelligence, automation or other technology has been used to facilitate fraud, deception, identity manipulation or any other prohibited activity, SafeHustle may investigate the matter and take any enforcement action authorised under these Terms, including suspension of Accounts, rejection of verification requests, preservation of evidence, freezing of affected transactions and reporting the matter to competent authorities where appropriate.

63. OFF-PLATFORM SOLICITATION

63.1 Users shall not intentionally use the Platform to avoid Platform protections by soliciting transactions outside SafeHustle for the purpose of avoiding Platform procedures or fees.

63.2 Nothing in this Article prevents Users from maintaining legitimate independent business relationships that exist outside the Platform, provided such relationships are not used to circumvent the Platform after introductions made through SafeHustle.

63.3 SafeHustle reserves the right to investigate suspected circumvention.

64. RATINGS & REVIEWS

64.1 Ratings and reviews should reflect genuine transaction experiences.

64.2 Users shall not:

65. USER CONTENT

65.1 Users remain responsible for all content uploaded, transmitted or published through the Platform.

65.2 Users warrant that they possess all necessary rights to any content they upload.

65.4 SafeHustle may remove any content that it reasonably considers inconsistent with these Terms or applicable law.

66. SAFETY & SECURITY

Users shall:

SafeHustle may issue safety guidance from time to time, and Users are encouraged to comply with such guidance.

67. REGULATORY COMPLIANCE

Users undertake to comply with all applicable legal and regulatory requirements relevant to their activities on the Platform.

Where required by law, SafeHustle may:

Where SafeHustle reasonably believes that immediate intervention is necessary to protect Users, the Platform or the public, it may without prior notice:

69. LAW ENFORCEMENT COOPERATION

SafeHustle may cooperate with courts, law enforcement agencies, regulators and other competent authorities by preserving, disclosing or producing information where:

70. CONSEQUENCES OF MISCONDUCT

Without prejudice to any other rights available under these Terms or applicable law, SafeHustle may take one or more of the following actions where a User breaches these Terms:

The exercise of any enforcement measure under this Article shall not preclude SafeHustle from exercising any other contractual or legal right available.


PART VII – PRIVACY, DATA PROTECTION, DIGITAL COMMUNICATIONS & INFORMATION GOVERNANCE

71. SAFEHUSTLE'S COMMITMENT TO PRIVACY AND DATA PROTECTION

71.1 SafeHustle recognises that the privacy and protection of Personal Data are fundamental to maintaining the trust and confidence of its Users.

71.2 SafeHustle is committed to collecting, using, storing, disclosing, retaining and otherwise processing Personal Data in accordance with the Nigeria Data Protection Act, 2023, applicable subsidiary legislation, regulatory directives and its Privacy Policy, as amended from time to time.

71.3 This Part establishes the contractual framework governing SafeHustle's processing of Personal Data. More detailed information regarding specific processing activities, Users' rights and SafeHustle's privacy practices is contained in the Privacy Policy, which forms an integral part of these Terms.

71.4 By creating an Account or using the Platform, each User acknowledges and agrees that SafeHustle may process Personal Data in accordance with these Terms, the Privacy Policy and applicable law.

72. LAWFUL BASIS FOR PROCESSING PERSONAL DATA

72.1 SafeHustle shall process Personal Data only where permitted under applicable law.

72.2 Depending on the nature of the processing activity, SafeHustle may process Personal Data on one or more of the following lawful bases:

73. COLLECTION OF INFORMATION

74. BIOMETRIC DATA & IDENTITY VERIFICATION

74.1 As part of its identity verification process, SafeHustle may collect and process photographs, selfie images, facial images, identity documents and other verification information supplied by Users.

74.2 Such information shall be used solely for legitimate purposes including:

74.3 SafeHustle shall not use biometric or facial verification information for unrelated commercial purposes without an appropriate lawful basis under applicable law.

74.4 Where biometric verification services are provided by an approved third-party verification partner, such processing shall be subject to appropriate contractual safeguards and applicable data protection laws.

75. PURPOSES OF PROCESSING

76.1 Where consent is required by applicable law, the User expressly consents to the processing of Personal Data for the purposes described in these Terms and the Privacy Policy.

77. DEVICE PERMISSIONS

78. LOCATION INFORMATION

79. DATA ACCURACY

79.1 Users undertake to ensure that all Personal Data provided to SafeHustle remains accurate, complete and up to date.

79.2 Users shall promptly update any information that becomes inaccurate, incomplete or outdated.

79.3 SafeHustle shall not be responsible for any consequence arising from inaccurate or outdated information supplied by a User.

80. DIGITAL COMMUNICATIONS & ELECTRONIC RECORDS

80.1 Communications conducted through the Platform may be retained for legitimate operational purposes including:

80.2 Users acknowledge that electronic communications, system logs, metadata, timestamps, audit trails and other digital records generated by the Platform may constitute evidence for administrative, legal or regulatory purposes, subject to applicable law.

80.3 SafeHustle shall access User communications only where reasonably necessary for the purposes identified in these Terms or where required by law.

81. INFORMATION SECURITY

81.1 SafeHustle shall implement reasonable administrative, organisational and technical safeguards designed to protect Personal Data and other confidential information against unauthorised access, disclosure, alteration, destruction or misuse.

81.2 While SafeHustle employs reasonable security measures, no electronic system can be guaranteed to be completely secure.

81.3 Users remain responsible for maintaining appropriate security over their devices, passwords, authentication credentials and Account access.

81.4 Users shall immediately notify SafeHustle upon becoming aware of any suspected unauthorised access, security compromise or misuse of their Account or Personal Data.

82. DATA RETENTION & RECORD MANAGEMENT

82.1 SafeHustle may retain Personal Data and electronic records for so long as reasonably necessary to:

82.2 Following expiration of the applicable retention period, SafeHustle may securely delete, anonymise or archive information in accordance with applicable law and its internal retention policies.

83. DISCLOSURE OF INFORMATION

84. THIRD-PARTY SERVICE PROVIDERS

84.1 SafeHustle may engage third-party service providers to perform services including payment processing, cloud hosting, identity verification, analytics, communications, cybersecurity and customer support.

84.2 Such providers shall process Personal Data only to the extent reasonably necessary to perform the services for which they have been engaged and subject to appropriate contractual obligations.

84.3 SafeHustle shall exercise reasonable care in selecting service providers but shall not be responsible for matters beyond its reasonable control.

85. USERS' DATA PROTECTION RIGHTS

Subject to applicable law, Users may exercise rights relating to their Personal Data, including the right to:

86. CROSS-BORDER DATA TRANSFERS

Where Personal Data is transferred outside the Federal Republic of Nigeria, SafeHustle shall implement appropriate safeguards consistent with applicable data protection legislation and regulatory requirements.

87. COOKIES & SIMILAR TECHNOLOGIES

SafeHustle may use cookies, web beacons, local storage and similar technologies to improve functionality, security, analytics, authentication and user experience.

Additional information regarding the use of cookies is contained in the Cookie Policy where applicable.

88. PERSONAL DATA BREACHES

Where SafeHustle becomes aware of a Personal Data Breach, it shall respond in accordance with applicable law, including implementing appropriate containment measures, conducting investigations and issuing notifications where legally required.

89. CHILDREN'S PRIVACY

The Platform is not intended for persons who lack legal capacity to enter binding contracts under applicable law.

SafeHustle does not knowingly collect Personal Data from children in violation of applicable law and reserves the right to remove any Account established contrary to these Terms.

90. SURVIVAL OF PRIVACY OBLIGATIONS

The obligations relating to confidentiality, privacy, information security, data protection, record retention and lawful disclosure shall survive suspension or termination of a User's Account for so long as reasonably necessary to comply with applicable law, protect legitimate interests or conclude outstanding legal or regulatory obligations.


PART VIII – INTELLECTUAL PROPERTY, USER CONTENT & PLATFORM LICENCE

91. OWNERSHIP OF THE PLATFORM

91.1 The Platform, including its software, source code, object code, databases, architecture, design, layout, graphics, logos, trademarks, trade names, business processes, workflows, algorithms, documentation, audiovisual materials and all associated intellectual property rights are and shall remain the exclusive property of SafeHustle and/or its licensors.

91.2 Nothing contained in these Terms transfers any ownership interest in the Platform or its Intellectual Property Rights to any User.

91.3 Users acquire only the limited rights expressly granted under these Terms.

92. SAFEHUSTLE TRADEMARKS & BRANDING

92.1 The name "SafeHustle", its logo, slogans, trade dress, domain names and all associated branding elements are proprietary assets of SafeHustle.

92.2 Users shall not reproduce, copy, modify, register, imitate or otherwise use any SafeHustle trademark, logo or branding without SafeHustle's prior written consent.

92.3 Nothing in these Terms grants any User a licence to use SafeHustle's branding except as expressly authorised.

93. LIMITED LICENCE TO USE THE PLATFORM

93.1 Subject to compliance with these Terms, SafeHustle grants each User a limited, non-exclusive, non-transferable, revocable and non-sublicensable licence to access and use the Platform solely for its intended purposes.

93.2 This licence automatically terminates upon suspension or termination of the User's Account.

93.3 Users shall not use the Platform for any purpose inconsistent with these Terms.

94. RESTRICTIONS ON USE OF THE PLATFORM

Except as expressly permitted by applicable law or by SafeHustle in writing, Users shall not:

95.1 Users retain ownership of the intellectual property rights in content that they lawfully create and upload to the Platform.

95.2 User Content includes, without limitation:

95.3 Users remain solely responsible for ensuring that they possess all necessary rights, licences and permissions to upload such content.

95.4 Users shall not upload content that infringes the intellectual property rights, privacy rights or other lawful interests of any third party.

96. LICENCE GRANTED TO SAFEHUSTLE

96.1 By uploading or submitting User Content to the Platform, the User grants SafeHustle a worldwide, non-exclusive, royalty-free, transferable (to the extent reasonably necessary for Platform operations), sublicensable licence to:

96.2 The licence granted under this Article shall continue for so long as reasonably necessary to operate the Platform, comply with legal obligations, resolve disputes, enforce these Terms or protect legitimate business interests.

96.3 Nothing in this Article transfers ownership of User Content to SafeHustle.

97. USER WARRANTIES REGARDING CONTENT

97.1 Each User represents and warrants that any User Content uploaded, transmitted or otherwise made available through the Platform:

97.2 The User shall indemnify SafeHustle against any claim, loss, liability or expense arising from any breach of the warranties contained in this Article, subject to applicable law.

98. COPYRIGHT & INTELLECTUAL PROPERTY COMPLAINTS

98.1 SafeHustle respects the intellectual property rights of others.

98.2 Any person who believes that material available on the Platform infringes their intellectual property rights may notify SafeHustle by providing sufficient information to enable the alleged infringement to be investigated.

98.3 SafeHustle may remove, disable access to or restrict allegedly infringing material while investigations are ongoing.

98.4 Users who repeatedly infringe intellectual property rights may have their Accounts suspended or permanently terminated.

99. OPEN SOURCE SOFTWARE

99.1 Certain components of the Platform may incorporate software distributed under open-source licences.

99.2 The use of such software shall remain subject to the applicable open-source licence terms.

99.3 Nothing in these Terms limits any rights or obligations arising under applicable open-source licences.

100. APPLICATION PROGRAMMING INTERFACES (APIs)

100.1 Where SafeHustle provides APIs or other developer tools, their use shall be governed by any applicable API documentation, developer terms or separate agreements.

100.2 Users shall not misuse or interfere with any API or attempt to circumvent applicable usage limits or security controls.

101. DATA SCRAPING & AUTOMATED EXTRACTION

101.1 Users shall not extract, scrape, harvest, index or systematically collect data from the Platform using automated or manual means without SafeHustle's prior written consent.

101.2 This restriction applies irrespective of whether such information is publicly accessible through the Platform.

101.3 SafeHustle reserves the right to employ technical and legal measures to prevent unauthorised data extraction.

102. CONFIDENTIAL INFORMATION

102.1 During use of the Platform, Users may obtain access to confidential or proprietary information belonging to SafeHustle or other Users.

102.2 Users shall not disclose, reproduce or misuse confidential information except as authorised by the owner of such information or as required by law.

102.3 This obligation shall survive termination of these Terms.

103. RESERVATION OF RIGHTS

Except for the limited licence expressly granted under these Terms, SafeHustle reserves all rights, title and interests in and to the Platform and its Intellectual Property Rights.

No implied licence shall arise by virtue of these Terms or a User's access to the Platform.


PART IX – DISCLAIMERS, WARRANTIES, LIABILITY & INDEMNITIES

104. PLATFORM DISCLAIMER

104.1 SafeHustle provides a technology platform that facilitates lawful interactions and transactions between independent Users.

104.2 Except as expressly stated in these Terms, SafeHustle does not manufacture, supply, perform, supervise or control the services offered by Workers or requested by Clients.

104.3 SafeHustle neither guarantees nor warrants:

104.4 Users acknowledge that participation in marketplace transactions inherently involves commercial risk.

105. NO EMPLOYMENT, PARTNERSHIP OR AGENCY

105.1 Nothing contained in these Terms shall be construed as creating:

between SafeHustle and any User or between SafeHustle and any transaction facilitated through the Platform.

105.2 Workers remain independent service providers responsible for their own professional conduct, statutory obligations and tax liabilities.

106. NO PROFESSIONAL ADVICE

106.1 Information made available through the Platform is provided for general informational purposes only.

106.2 SafeHustle does not provide legal, financial, tax, engineering, medical or other regulated professional advice unless expressly stated.

106.3 Users remain solely responsible for obtaining independent professional advice where appropriate.

107. USER RESPONSIBILITY

107.1 Users remain solely responsible for:

108. THIRD-PARTY SERVICES

108.1 The Platform may integrate with or provide access to third-party payment processors, communication providers, verification providers, cloud infrastructure providers and other third-party services.

108.2 SafeHustle does not control such third-party services and shall not be responsible for their availability, security, accuracy or performance.

108.3 Use of third-party services shall remain subject to the applicable third-party terms and policies.

109. LIMITATION OF LIABILITY

109.1 To the fullest extent permitted by applicable law, SafeHustle shall not be liable for any indirect, incidental, consequential, exemplary, punitive or special damages arising from or relating to the use of the Platform.

109.2 SafeHustle shall not be liable for loss of profits, loss of revenue, loss of goodwill, loss of opportunity, business interruption, loss of data or any similar economic loss except where liability cannot lawfully be excluded.

109.3 Nothing in these Terms excludes liability which cannot lawfully be excluded under applicable law.

110. MAXIMUM LIABILITY

110.1 Where liability cannot be excluded, SafeHustle's aggregate liability shall be limited to the maximum extent permitted under applicable law.

110.2 Any limitation contained in these Terms shall apply irrespective of the legal basis of the claim, whether arising in contract, tort (including negligence), statute or otherwise.

111. FORCE MAJEURE

111.1 SafeHustle shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control.

111.2 Such events include, without limitation:

111.3 SafeHustle shall take reasonable steps to mitigate the effects of any Force Majeure event.

112. USER INDEMNITY

112.1 Each User agrees to indemnify, defend and hold harmless SafeHustle, its directors, officers, employees, affiliates, consultants, successors and assigns from and against all claims, proceedings, liabilities, damages, losses, penalties, fines, costs and expenses (including reasonable legal fees) arising from or relating to:

112.2 SafeHustle reserves the right to assume conduct of the defence of any matter for which indemnification is sought, without prejudice to the User's indemnity obligations.

113. RELEASE

113.1 To the fullest extent permitted by law, Users release SafeHustle from claims arising solely from disputes between Clients and Workers relating to the performance of services, except where such claims arise directly from SafeHustle's own proven breach of these Terms or applicable law.

113.2 This Article shall not prejudice any statutory rights that cannot lawfully be excluded.

114. MITIGATION OF LOSS

114.1 Users shall take reasonable steps to mitigate any loss, damage or expense arising from any dispute or incident connected with the Platform.

114.2 SafeHustle shall not be liable for losses that could reasonably have been avoided through the exercise of ordinary care by the affected User.

115. NO WAIVER OF STATUTORY RIGHTS

Nothing in these Terms shall operate to exclude, restrict or waive any statutory right or remedy that cannot lawfully be excluded or limited under applicable law.

116. SURVIVAL OF LIABILITY PROVISIONS

The provisions relating to indemnities, limitation of liability, releases, confidentiality, intellectual property, payment obligations, dispute resolution and any other provisions intended by their nature to survive shall remain in full force and effect notwithstanding the suspension or termination of a User's Account or these Terms.


PART X – GENERAL LEGAL PROVISIONS

117. NOTICES

117.1 Any notice or communication required or permitted under these Terms may be given by:

117.2 Notices sent electronically shall be deemed received when successfully transmitted unless the sender receives notification of delivery failure.

117.3 Users are responsible for ensuring that their contact information remains accurate and up to date.

118. AMENDMENTS TO THESE TERMS

118.1 SafeHustle may amend these Terms where reasonably necessary to:

118.2 Material amendments shall be communicated through reasonable notice, including email, in-app notifications or publication on the Platform.

118.3 Continued use of the Platform following the effective date of any amendment constitutes acceptance of the revised Terms.

119. ASSIGNMENT

119.1 Users shall not assign, transfer or otherwise dispose of any rights or obligations arising under these Terms without the prior written consent of SafeHustle.

119.2 SafeHustle may assign or transfer its rights and obligations under these Terms:

120.1 Failure by SafeHustle to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.

120.2 Any waiver shall be effective only if made expressly in writing by an authorised representative of SafeHustle.

121. SEVERABILITY

121.1 If any provision of these Terms is held to be invalid, illegal or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be deemed severed to the minimum extent necessary.

121.2 The remaining provisions shall continue in full force and effect.

122. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Escrow Policy, Refund Policy, Community Guidelines and any other policies expressly incorporated by reference, constitute the entire agreement between SafeHustle and each User concerning the use of the Platform and supersede all prior discussions, understandings or agreements relating to the same subject matter.

123. RELATIONSHIP OF THE PARTIES

Nothing contained in these Terms shall be construed as creating any partnership, agency, employment, fiduciary relationship or joint venture between SafeHustle and any User, except where expressly stated.

124. LANGUAGE

These Terms are prepared in the English language.

Where translated into another language for convenience, the English version shall prevail in the event of any inconsistency, subject to applicable law.

125. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

126. EXTERNAL DISPUTE RESOLUTION

126.1 Before commencing arbitration or court proceedings, the parties shall first seek to resolve any dispute arising from these Terms through the following process:

126.2 Where the dispute remains unresolved after the preceding steps, either party may refer the dispute to arbitration in accordance with the Arbitration and Mediation Act, 2023.

126.3 The arbitration shall:

126.4 Nothing in this Article prevents SafeHustle from seeking interim or conservatory relief from a court of competent jurisdiction where such relief is reasonably necessary to protect its rights, Users, assets, confidential information or intellectual property.

126.5 Nothing in this Article shall prevent a User from pursuing any statutory remedy that cannot lawfully be excluded or subjected exclusively to arbitration.

127. LIMITATION PERIOD FOR PLATFORM CLAIMS

127.1 Users are encouraged to notify SafeHustle promptly upon becoming aware of any claim, complaint or circumstance likely to give rise to a dispute relating to the Platform.

127.2 Prompt notification assists SafeHustle in preserving evidence, conducting investigations and facilitating efficient dispute resolution.

127.3 Delay in notifying SafeHustle shall not, of itself, extinguish any statutory right or remedy available to a User, but may be taken into account where such delay materially prejudices SafeHustle's ability to investigate or resolve the matter.

128. COMPLIANCE WITH APPLICABLE LAW

Users shall comply with all applicable laws, regulations, judicial orders and lawful directives relevant to their use of the Platform.

Nothing in these Terms shall require SafeHustle or any User to engage in conduct that would be unlawful.

129. SURVIVAL

Without prejudice to any other provision of these Terms, the following provisions shall survive suspension or termination of a User's Account:

131. ACCEPTANCE OF THESE TERMS

BY CREATING AN ACCOUNT, ACCESSING OR USING THE PLATFORM, EACH USER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD AND AGREED TO BE LEGALLY BOUND BY THESE TERMS OF USE, THE POLICIES INCORPORATED HEREIN AND ANY LAWFUL AMENDMENTS MADE FROM TIME TO TIME.

WHERE A USER DOES NOT AGREE TO THESE TERMS, SUCH USER MUST IMMEDIATELY CEASE USING THE PLATFORM.
